Situation

Cherry Tree is proud to announce that TCM Security, a rapidly growing provider of cybersecurity training, certifications, and B2B services, has been acquired by Educate 360, a Morgan Stanley Capital Partners portfolio company. TCM Security is focused on developing the next generation of cybersecurity professionals and working with companies to prevent breaches. They have built a very strong reputation with over a million social media followers and their certifications are frequently desired in job postings by Fortune 500 companies.

Cherry Tree’s Role

After being approached by several potential acquirors, Cherry Tree was engaged to help TCM Security and its Founder identify the best partner. They wanted a partner to help the Company support its strong growth while maximizing shareholder value and maintaining its mission and culture. The Cherry Tree team advised TCM Security in a process that included both strategic entities as well as growth-oriented and experienced financial sponsors. Its role included preparing evaluation materials, effectively communicating the investment opportunity to potential buyers, engaging with a wide range of qualified parties, soliciting proposals, negotiating attractive terms, and supporting the owner and management team through the diligence process and finalization of the definitive agreements.
